Agreement states it is binding on any successors. There is an asset purchase, but employee receives no money as conditions were not met. The definition of a succesor is met. In the asset purchase and sale agreement, the retention agreement is not assigned to the purchaser (successor). Can the employee still hold the successor liable for the terms of the retention agreement? Is the original employer still liable somehow?
